1. Acceptance of Terms

By accessing or using ThePicks (accessible at thepicks.io), operated by Guideway Consulting, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Service Description

ThePicks is a creator-curated shopping platform that connects brands and creators. Our services include:

• For Customers: Browse and purchase products curated by creators through personalized shelves.
• For Creators: Build curated product shelves, share recommendations, and earn commissions on sales.
• For Brands: List products, connect with creators, and access subscription-based brand tools.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 14 years of age to create an account.
• One person may not maintain more than one account without prior approval.
• You agree to notify us immediately of any unauthorized use of your account.

4. Orders & Payments

• All prices are displayed in USD unless otherwise specified.
• Payments are processed securely through Stripe and PortOne. By making a purchase, you agree to each processor's terms of service.
• An order is confirmed when payment is successfully processed. You will receive an email confirmation with your order details.
• We reserve the right to refuse or cancel orders in cases of suspected fraud, pricing errors, or product unavailability.
• Prices may include applicable taxes and shipping fees, which are displayed at checkout.

5. Shipping & Delivery

• Shipping timelines are estimates and may vary depending on the destination and carrier.
• Risk of loss passes to you upon delivery to the carrier.
• You are responsible for providing an accurate shipping address. We are not liable for delays or losses caused by incorrect address information.

6. Refunds & Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy. In general, refund requests within 7 days of purchase (before service use) are eligible for a full refund. After service use, a prorated refund may be issued.

7. Creator Terms

• Creators must apply and be approved before creating a shelf on the platform.
• Creators earn commissions on qualifying sales made through their curated shelves.
• Commission rates and payout schedules are determined by ThePicks and may be updated with prior notice.
• Creators must not engage in misleading promotion, fake reviews, or any deceptive practices.
• We reserve the right to suspend or terminate creator accounts that violate these terms.

8. Brand Terms

• Brands must apply and be approved to list products on the platform.
• Brands are responsible for the accuracy of product information, pricing, and availability.
• Brand subscriptions are billed on a recurring monthly basis. Subscription terms are detailed in the Refund & Cancellation Policy.
• Settlement payouts are processed according to the agreed settlement method and schedule.

9. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the platform or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Engage in fraudulent transactions, chargebacks, or abuse of the refund system
• Scrape, crawl, or use automated means to access the platform without permission
• Upload or transmit malicious code, spam, or harmful content

10. Intellectual Property

• All content on ThePicks, including design, logos, text, and software, is owned by Guideway Consulting or its licensors.
• Creators retain ownership of their original content but grant us a license to display and promote it on the platform.
• You may not reproduce, modify, or distribute any platform content without written permission.

11. Limitation of Liability

• ThePicks is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform.
• Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We do not guarantee the accuracy of product information provided by brands or creators.

12. Termination

• You may close your account at any time by contacting us at support@thepicks.io.
• We may suspend or terminate your account if you violate these terms or engage in prohibited conduct.
• Upon termination, any pending orders will be fulfilled, and outstanding commissions or settlements will be processed according to their respective schedules.

13. Dispute Resolution

Any disputes arising from these terms or your use of the platform shall be governed by the laws of the Republic of Korea. Both parties agree to attempt to resolve disputes amicably before pursuing legal action. The competent court shall be the Daejeon District Court, Republic of Korea.

14. Changes to Terms

We may modify these Terms of Service at any time. Material changes will be communicated via email or a notice on the platform at least 7 days before they take effect. Continued use of the platform after changes constitute acceptance.
